Corply Billing & Refund Policy

This policy explains how 0Lumen Labs Corp. d/b/a Corply ("Corply") charges for company formation and registered-agent service: what you pay, how automatic renewal and renewal-with-approval work, how card and bank payments are authorized, and how to cancel, get a refund, or raise a problem with a charge. It supplements section 9 of our Terms of Use, and you accept the current version at each checkout.
Important Summary
- 0Lumen Labs Corp. d/b/a Corply is the merchant for your formation and registered-agent charges. Stripe processes every payment, and Corply never receives or stores full card or bank account numbers.
- Your formation payment is a one-time charge, and it includes the first year of registered-agent service.
- At checkout you choose how registered-agent service renews after that first year: automatically each year until you cancel, or only when you approve each renewal. When approval is required, silence is never approval.
- State annual reports and franchise taxes are never charged automatically. Corply shows the exact amount and asks for your approval each time.
- We email you about 35 and 18 days before each renewal. You can turn off automatic renewal online at any time in Settings → Billing. Cancelling stops future renewals, and the year you already paid for continues.
- Bank (ACH) payments take about 4 business days to clear, and state filing starts only after your payment clears.
- You get a full refund if you cancel before Corply submits your state filing. Renewal charges are refundable if you ask within 30 days of the charge. Duplicate and unauthorized charges are refunded in full.

1. What You Pay
Before you enter any payment details, Corply's checkout shows an itemized receipt built from your formation details. All amounts are in U.S. dollars.
- One-time formation payment, due at checkout: the state formation filing fee; the first year of registered-agent service from a third-party registered agent that Corply coordinates for you; a filing charge for each 83(b) election Corply mails for a founder who makes one; and Corply's formation service fee. Partner discounts and credits for amounts you already paid appear as separate lines.
- Registered-agent renewal, after the included first year: a fixed annual amount made up of the registered agent's renewal fee and Corply's related service fee, plus any applicable tax. It is charged automatically only if you chose automatic renewal, at checkout or later in Settings → Billing. Otherwise it is charged only when you approve it.
- State annual charges, such as an annual report fee or franchise tax, plus Corply's related service fee where one applies: these vary by state and company and are never part of the renewal. Corply never charges them automatically; it shows the exact amount and asks for your approval each time one is due.
- Amendments: if you change your formation after paying and the new price is higher, you pay only the difference. Your renewal setting does not change.
Corply charges only the amounts on the receipt you approved, renewals under the renewal choice you made, and amounts you separately approve later. Your bank or card issuer may charge its own fees, such as foreign transaction fees, which Corply does not control.
2. Automatic Annual Renewal
Automatic renewal is the default choice at checkout, but it starts only if you agree to it. On Corply's checkout page, "Ask me before renewing" is offered alongside it, and you agree by checking an authorization box next to the renewal terms; that box is never pre-checked. If you pay through an AI agent connected to Corply, Corply creates a payment link only after the agent confirms that you accepted the renewal terms. Stripe's payment page repeats the renewal summary next to the pay button either way.
If you choose automatic renewal, your registered-agent service renews every year until you cancel. Starting on or about one year after checkout, 0Lumen Labs Corp. d/b/a Corply charges the fixed annual renewal amount shown at checkout, plus any applicable tax, to the card or bank account you saved at checkout. It charges that amount again on or about the same date each year.
Your renewal date and amount appear on your checkout receipt, in your purchase acknowledgment email, in each renewal reminder, and in Settings → Billing.
Each renewal covers one more year of registered-agent service. A renewal never includes state annual reports or franchise taxes.
You can turn off automatic renewal at any time before a renewal date (see Cancellation). If you started with renewal-with-approval, you can turn automatic renewal on later in Settings → Billing, which asks for its own authorization.
3. Renewal Only With Your Approval
If you choose "Ask me before renewing" at checkout, your registered-agent service does not renew automatically. 0Lumen Labs Corp. d/b/a Corply keeps the card or bank account you pay with on file through Stripe, so a renewal you approve can be charged without re-entering your details.
About 35 and 18 days before your included year ends, we email you to ask whether you want to renew. To renew, open Settings → Billing and approve the renewal by checking the authorization box, which shows the amount, the charge date, and the payment method. You can also approve early, before any reminder arrives.
Nothing is charged for a renewal unless you approve it. Silence, an unopened email, or continuing to use Corply is never approval.
One approval covers one renewal, and the following year we ask again. You can instead switch to automatic renewal in Settings → Billing, which requires its own authorization.
If you do not approve, nothing is charged and registered-agent coverage ends when your paid year ends. Your state requires every company to keep a registered agent, so appoint another one before then. If you approve after coverage has ended, the renewal is charged when you approve it.
You can remove your saved payment method in Settings → Billing whenever no approved renewal charge is scheduled.
4. Payment Methods
Corply accepts major credit and debit cards and U.S. bank accounts through ACH Direct Debit. Stripe processes all payments. If bank payment is unavailable for a checkout, only card payment is shown.
You enter card or bank details in a Stripe-hosted or Stripe-embedded payment form, and those details go directly to Stripe. Corply never receives or stores full card numbers, card security codes, or full bank account numbers. We keep only limited descriptors, such as the payment-method type, the card brand or bank name, and the last four digits, plus Stripe's identifiers, as described in our Privacy Policy.
Bank accounts are verified instantly through Stripe Financial Connections. You sign in to your bank through Stripe, not through Corply. Corply asks only for permission to use the account for payments; it does not receive your bank login and does not request your balances or transactions. If your bank cannot be verified instantly, pay by card instead.
The payment method you use at checkout is saved with Stripe for the renewal choice you made (see Charge Authorization). You can remove it in Settings → Billing whenever no renewal charge is scheduled, or ask us to remove it.
6. Bank (ACH) Payments
Bank payments take about 4 business days to clear. Until a bank payment clears, Corply shows it as clearing, you cannot start another checkout for the same company, and Corply does not submit your state filing. Filing starts after the payment clears. We email you when it clears, and also if it fails.
Do not pay again while a bank payment is clearing. If the payment fails, you can start a new checkout with another payment method. If the failed payment included automatic renewal, that renewal is cancelled with it, and your new checkout sets it up again.
A bank can return a debit even after it appears to have cleared, for example when the account holder reports it as unauthorized. If a payment is returned, Corply may pause work it has not yet submitted while we investigate, and the amount remains owed. Corply will not undo a filing it already submitted, or a company record already created, because a payment was returned.
A refund of a bank payment can be issued only after the original payment clears (see Refunds).
7. Renewal Reminders
We email your company's owners, founders and operators about 35 and 18 days before each renewal, including the first renewal after the included year.
With automatic renewal, each reminder shows the renewal amount, the charge date, and the payment method on file. It also links to Settings → Billing so you can turn off automatic renewal, and it restates the 30 days refund window for renewals.
With renewal-with-approval, each reminder asks whether you want to renew, shows the amount, the date, and the saved payment method, and links to Settings → Billing to approve. Nothing is charged unless you approve.
Reminders go to the email addresses on your Corply account, so keep them current.
8. Price Changes
Your renewal price is the amount you agreed to at checkout, or when you last approved a renewal or turned on automatic renewal. Corply will not charge a different renewal price without your approval.
If the price of your registered-agent renewal changes, we email you at least 30 days before the renewal it would affect. That email shows the current price, the new price, and the date it would apply, and explains how to approve the new price or cancel. If you do not approve the new price, we will not charge it. You can also turn off automatic renewal at any time.
Applicable tax, if any, follows the law in effect when you are charged.
States set their own fees and taxes and can change them at any time. Because state annual charges are never charged automatically, you always see the current amount before you approve it.
9. Failed Payments
If a renewal charge fails, Stripe may retry it automatically over the following days, and Corply or Stripe emails you about it. Update your payment method in Settings → Billing, or email founders@0lumens.com and we will help you switch it.
If a renewal stays unpaid, registered-agent coverage may end when your paid year ends, and the registered agent may resign. Your state requires every company to keep a registered agent, so resolve the payment or appoint another registered agent before coverage ends.
If a formation payment fails, Corply does not submit your state filing. You can return to checkout and pay with another payment method.
10. Cancellation
You can turn off automatic renewal online at any time. Go to Settings → Billing and choose "Turn off automatic renewal." You can also use the link in any renewal reminder, or email founders@0lumens.com. No phone call or chat is required.
Cancellation takes effect immediately for all future renewals. The year you already paid for continues until its end date, and we email you a confirmation that shows when your coverage ends.
If you approved a single renewal, you can cancel it the same way in Settings → Billing, or by email, before its charge date.
Once no renewal charge is scheduled, you can remove your saved payment method in Settings → Billing. Removing it also revokes any bank-debit authorization for future debits.
Cancelling a renewal does not refund the current year, except as described in Refunds. It also does not cancel government fees, submitted filings, or work already completed.
Your state requires every company to keep a registered agent. If you cancel, appoint a new registered agent before your coverage ends.
To cancel a formation order before Corply submits your state filing, email founders@0lumens.com or use our support form. You will receive a full refund.
11. Refunds
Approved refunds go back to the original payment method.
- Before Corply submits your state filing: cancel your formation order for a full refund of your formation payment.
- After Corply submits your state filing: state fees, the included first year of registered-agent service, and 83(b) election filings Corply has already mailed are non-refundable. Corply's formation service fee is non-refundable too, except that we refund it if the state rejects your filing and Corply cannot correct it. If you cancel before an 83(b) election is mailed, we refund that election's filing charge.
- Registered-agent renewals: refundable in full if you ask within 30 days of the renewal charge. After 30 days, renewal charges are non-refundable.
- Duplicate or unauthorized charges: refunded in full.
- Amendment balances: follow the same rules as the formation payment they adjust.
To request a refund, email founders@0lumens.com or use our support form with your company name and the charge. We confirm eligibility and issue approved refunds through Stripe.
Card refunds usually appear within 5 to 10 business days, depending on your card issuer. Bank (ACH) refunds usually arrive within a few business days and can be issued only after the original payment clears.
Stripe can refund a bank payment only in full. If only part of a bank payment is refundable, we will contact you to arrange the partial refund.
If you have also disputed the charge with your bank or card issuer, tell us. A refund plus a successful dispute can credit you twice, and the extra credit may be reversed.
12. Payment Disputes
If a charge looks wrong or you don't recognize it, contact us first at founders@0lumens.com or through our support form. We usually respond within one business day, and we refund confirmed errors under Refunds. Formation and registered-agent charges are billed by 0Lumen Labs Corp. d/b/a Corply.
Contacting us first does not limit any right you have to dispute a charge with your card issuer or bank.
If you open a dispute, such as a chargeback or bank return, Corply may pause work it has not yet submitted while we investigate. Corply may give Stripe, card networks, and banks your receipt, the authorization you accepted, and records of the work performed. Corply will not undo a filing already submitted, or a company record already created, because a payment is disputed.
Disputing a bank (ACH) debit revokes your debit authorization for that account, so future renewals will need a new payment method and a new authorization.

13. Receipts and Confirmations
Stripe emails a receipt for each successful payment, including each renewal charge, to the email address used at checkout.
After checkout, Corply also emails an acknowledgment that restates what you agreed to: the amount paid, your renewal choice and annual amount, the renewal date, the payment method, how to cancel, and a link to this policy. If you paid by bank account, we also email you when the payment clears.
We email a confirmation whenever you turn automatic renewal on or off, approve a renewal, or remove a saved payment method.
Keep these emails for your records. For a copy of any receipt, email founders@0lumens.com.
14. Billing Support
Email founders@0lumens.com or use our support form. We usually respond within one business day.
Include your company name, the email you used at checkout, and the date and amount of the charge. Never send full card numbers, bank account numbers, or passwords.
0Lumen Labs Corp. d/b/a Corply is responsible for these charges. Stripe processes them under its own terms and privacy policy.
15. Changes to This Policy
This policy is versioned by date. The version and last-updated date appear at the top of this page, and each checkout and renewal approval records the version in effect when you agreed.
We may update this policy for future checkouts and renewal approvals. A change never authorizes a charge you have not agreed to, and renewal price changes follow Price Changes. If a change materially affects an automatic renewal you already agreed to, we will email you before it applies.
This policy supplements the Terms of Use. Where it is more specific about formation or registered-agent billing, it applies to that billing.
This policy is service information about how Corply bills. It is not legal, tax, accounting, or financial advice. Corply is not a law firm; for legal questions, work with qualified counsel.
