AI-agent formation

How to incorporate a company with an AI agent.

Connect Claude Code, Codex, or another MCP-capable agent to Corply and ask it to incorporate your startup. The agent drives the Delaware C-Corp application, document preparation, and signature coordination; founders authorize the consequential steps, and a human reviews every filing before Delaware receives it.

Do it from your agent

Connect Corply, then say ‘incorporate my startup.’ The agent runs the workflow while secure browser handoffs and human review protect the steps that carry legal or financial consequences.

The short answer

An AI agent can coordinate a company formation, but it cannot responsibly replace the people whose intent and authority make the transaction real. Corply gives the agent authenticated formation tools at https://corply.dev/mcp, keeps one canonical company record, and requires human action for signatures, payment, sensitive identity fields, and the reviewed Delaware submission.

The result is a regular Delaware C-Corp—not an AI-generated simulation of one—with the filing, founder stock, approvals, 83(b) workflow, EIN materials, and evidence attached to the company after formation.

Seven steps from prompt to company

  1. 01

    Connect the agent

Install Corply for Claude Code or Codex, or connect any compatible MCP client to https://corply.dev/mcp and complete OAuth sign-in.

  2. 02

    Describe the company

Tell the agent to incorporate your startup. It gathers the company name, business description, founders, ownership, vesting, officers, directors, 83(b) choices, and EIN responsible party.

  3. 03

    Validate before generating

Corply checks that required facts are present and consistent. Founders confirm consequential choices instead of letting the model silently invent them.

  4. 04

    Review the filing-stage documents

Corply prepares the Certificate of Incorporation and the narrow formation authorization. Each founder reviews the actual documents routed to them.

  5. 05

    Authorize payment and e-sign

The named humans authorize payment and apply their own electronic signatures. The agent coordinates the workflow but never impersonates a signer.

  6. 06

    Human review and Delaware filing

A Corply operator reviews every submission before it goes to the Delaware Division of Corporations. Delaware acceptance establishes the canonical formation date and file number.

  7. 07

    Complete the company record

After acceptance, Corply generates the bylaws, incorporator action, board consent, founder stock documents, 83(b) workflow, EIN materials, stock records, and evidence-backed next actions.

Claude Code, Codex, and any compatible MCP client

Corply is not a chatbot that merely explains incorporation. Its authenticated MCP server exposes the real workflow to the agent: application state, validation, document generation, payment, founder signatures, filing status, and the operating record. See the complete MCP tool overview.

Claude Code has a packaged plugin path. Codex can use the plugin or connect to the remote MCP endpoint. Other compatible clients use the same endpoint over streamable HTTP with OAuth. The setup paths are listed on the installation page.

When an agent-first service is the wrong choice

Use a lawyer when the facts are unusual: disputed founder ownership, complicated existing IP, a conversion, regulated activity, nonstandard securities, or any issue requiring advice. Use a traditional portal if you prefer forms to agents. Use an LLC-focused provider if you do not want a Delaware C-Corp. The honest comparison is in the incorporation-service decision guide.

FAQ

Can an AI agent incorporate a company?
Yes, if the agent is connected to a formation service that can create documents, collect human approvals and signatures, take an authorized payment, and submit the filing. Corply exposes that workflow to supported agents while keeping signatures, payment, legal judgment, and the final Delaware filing behind human controls.
What is an incorporation MCP server?
It is a Model Context Protocol server that gives an AI agent authenticated tools for company formation. Corply's hosted MCP endpoint lets compatible agents save and validate an application, generate documents, coordinate payment and signatures, submit a human-reviewed filing, and read the resulting company record.
Can I incorporate a startup from Claude Code?
Yes. Install the Corply plugin, authenticate, and ask Claude Code to incorporate your startup. Claude drives the conversation while Corply supplies the formation workflow, canonical company state, secure browser handoffs, and human-reviewed Delaware filing.
Can I incorporate my startup from the terminal?
Yes. Claude Code, Codex CLI, and other compatible terminal agents can connect to Corply. Secure browser handoffs are still used for sign-in, document review, sensitive tax information, and other steps that should not happen inside chat.
Is Corply a company-formation API for AI agents?
Corply is a hosted, authenticated MCP service rather than a public REST filing API. It exposes company-formation and corporate-operations tools designed for agents, with OAuth, canonical backend state, explicit confirmation boundaries, and human review before filing.
Can the AI agent sign incorporation documents for me?
No. The agent may prepare, route, and track documents, but each named human reviews and signs as themselves. Corply retains signer intent, timestamps, document hashes, and the audit history supporting the electronic signature.
What company does Corply form?
Corply currently forms regular Delaware C-Corporations for startups. It does not form LLCs and is not the right tool for unusual capital structures or situations requiring individualized legal advice.
