Form in Delaware. Register where you operate.
A Delaware formation is only one part of your state obligations. Your offices, team, property, and recurring business activity may require registration in another state, often called foreign qualification.
What to review before choosing a formation service
List where the company will actually work, hire, store property, and conduct business. Give that list to your lawyer or state-registration advisor. The analysis is specific to each state and the activities there; simply having customers in a state does not answer every registration question.
Budget for any additional filing fee, registered-agent service, state reports, and taxes. These costs are separate from the Delaware formation price. Payroll, sales-tax registration, and local business licenses are also separate questions.
Example: a Delaware corporation working from Texas
Texas requires an out-of-state corporation to register if it is transacting business there. The Secretary of State lists a $750 application fee for a foreign for-profit corporation. Registration does not create a second corporation. Texas has exceptions to its transacting-business rules, so confirm how your actual activities fit before filing.
If registration is needed, use Texas Form 301 and its filing instructions, arrange the required Texas registered agent, and retain the accepted registration. - No. Another state may require registration if your activities meet its doing-business rules. - Texas currently charges $750 to register a foreign for-profit corporation, separate from Delaware formation and annual fees. Other charges, a Texas registered agent, and continuing obligations can apply. Whether registration is required depends on the company's actual activities.
